STRATEGIC LEGAL LEADERSHIP. SCALED FOR GROWTH.

Fractional & Outside General Counsel

Senior legal judgment from someone who actually knows the business.

There is a point in a company’s growth when legal issues stop being occasional. Contracts get larger. The team grows. Equity gets more complicated. Investors ask harder questions. Decisions in one area start affecting another.

But hiring a full-time General Counsel still may not make sense.

That is where fractional or outside General Counsel can work particularly well. I become an extension of the leadership team — learning the company, its history, its people and where it is trying to go — so that legal advice comes with context.

When Fractional GC Starts to Make Sense

  • You have raised meaningful outside capital and are preparing for your next stage of growth.

  • Commercial agreements are becoming more frequent, more valuable or more complicated.

  • You are issuing equity, hiring senior employees or building out a management team.

  • Corporate, commercial, employment and financing issues increasingly overlap.

  • Founders or executives are spending too much time managing legal work themselves.

  • You want a lawyer who understands the history behind a decision instead of starting from zero each time.

What I Handle

  • Commercial & Technology Transactions — customer agreements, SaaS, licensing, strategic partnerships, vendors and other operating contracts.

  • Corporate Governance & Structure — board matters, stockholder actions, entity structure, corporate housekeeping and governance questions.

  • Equity & Compensation — equity plans, options, restricted stock, executive equity and related approvals.

  • Fundraising & Financing Readiness — preparing for venture financings, diligence and the legal work that surrounds a capital raise.

  • Employment & HR Advisory — executive hires, employment and contractor agreements, separations and day-to-day employment issues in coordination with specialist counsel where appropriate.

  • IP, Data & Product Issues — ownership, licensing, confidentiality, data terms and the legal questions that arise as products and partnerships evolve.

How the Relationship Works

The goal is not to create another layer of process. It is to give the company a senior legal point person who can prioritize issues, coordinate specialized counsel when needed and help management make decisions with the full picture in view.

Engagements are typically structured as predictable monthly retainers based on the company’s stage, expected volume and scope of support.

My job is not simply to answer the legal question in front of me. It is to understand the business well enough to give practical advice in context, flag issues early and help management make better decisions.
